    Executive Head: Legal Affairs

    Role purpose:

    • Provide legal advice and support and managing legal matters for Vodacom Group, Vodacom South Africa and other operating entities and holding companies across Vodacom’s markets,  with a particular focus on -
    • Mergers & Acquisitions and joint ventures (covering all aspects, including drafting, reviewing and negotiating transaction agreements, supervising due diligences, attending to merger filings and fulfilment of conditions precedent etc.);
    • debt and capital markets funding;
    • intra-group reorganisations, shareholder issues, corporate activity and general corporate & commercial matters;
    • commercial agreements;
    • banking and finance and treasury related transactions (including facility agreements and preference share transactions);
    • competition law and other regulatory aspects; and
    • litigation affecting the Group or arising in relation to the above.

    Your responsibilities will include:

    • Provide legal advice and input on ‘high impact’ corporate transactions (mergers and acquisitions, disposals, joint ventures, intra group re-organisations, B-BBEE transactions etc.), high value and complex commercial agreements , banking and finance and treasury related transactions (including facility agreements and preference share transactions) and on any litigation affecting the Group or arising in relation  the above    
    • Involvement at the outset to define legal needs and inputs to any major transactional activity.
    • Prepare mandates/engagement letters and appoint and brief outsourced external legal teams, to the extent necessary.
    • Play a key role in deal negotiation and structuring in line with project goals and budget.
    • Draft, review and negotiate agreements and documents.
    • Manage and control any project-specific outsourced legal work.
    • Liaise with business line leaders, legal heads of International Operating Companies, Vodafone legal team, other stakeholders, etc., as dictated by deal requirements.
    • Ensure that all legal agreements required by Vodacom are in place and approved under the delegation of authority process
    • All legal matters are reported and managed in accordance with company governance requirements and processes, delegation of authority, and Group Code of Conduct
    • Keep business stakeholders updated and briefed on key projects and risk management
    • Provide legal advice and counsel on related corporate activity including minority or 3rd party shareholder transactions, shareholder issues and banking and finance and treasury related transactions and general corporate and commercial work    
    • Prepare mandates, N.D.A.’s, engagement letters, etc.
    • Play a lead role in negotiating and structuring deals/transactions.
    • Drafting and reviewing agreements and legal documents covering group legal issues including minority or 3rd party shareholder transactions, shareholder or business partner disputes, disposals, banking and finance and treasury related transactions etc.

    Litigation    

    • Where litigation becomes unavoidable or preferable in relation to the above:
    • Act on behalf of the company in litigation proceedings and instruct and manage external lawyers (where necessary).
    • Liaise with business line leaders and other stakeholders and report on litigation status.

    Competition Law matters    

    • Provide specialist counsel in Competition Law and other regulatory matters as they arise.
    • Assist with competition law and other regulatory compliance activities.
    • The role requires an experienced individual with broad in-depth knowledge of corporate and commercial legal agreements, contracts and litigation including specialist experience in mergers and acquisitions, shareholder transactions, banking and finance and treasury activities and competition law

    The ideal candidate for this role will have:

    • B.A./B.Com. & LL.B and admitted as an Attorney / Advocate or equivalent
    • 10 years commercial legal experience preferably within a Legal Firm (can include articles) 
    • Experience in handling mergers and acquisitions, joint ventures, intra-group reorganisations, commercial agreements and stakeholder related transactions essential 
    • Competition law experience and banking and finance and treasury transactions experience desirable

    Chief Risk Officer

    Role purpose:

    • The Chief Risk Officer (“CRO”) leads  the management of enterprise risks, corporate security and first party insurance strategies for Vodacom Group Limited (“Vodacom Group”), in compliance with regulations governing  a publicly listed company, while taking onboard the interests of all stakeholders, i.e., customers, employees  , shareholders, suppliers and key partners in all markets where Vodacom Group has operating companies .  
    • The CRO ensures that Vodacom Group has adequate risk management programmes in place through focusing on risk management policy governance and processes, as well as monitoring and reporting risks, including  maintaining controls and overseeing compliance. The CRO also ensures that Vodacom has adequate fraud, security, and business continuity programmes in place to detect and mitigate risks as and when they manifest themselves.
    • The CRO leads and manages a team of Risk & Corporate Security professionals overseeing the development of risk management plans and activities as well as creating awareness and putting together training programmes, including recommendations on systems and controls enhancements. 

    Your responsibilities will include:

    Risk Management:

    • Accountable for developing and implementing Enterprise Risk Management (ERM) framework to ensure a consistent approach across markets in identifying and managing risks and in so doing protects Vodacom Group’s reputation and drive growth through efficiency gains, 
    • Chair Vodacom Group’s Risk Management Committee (“RMC”).
    • Ensures risks identified, with mitigating actions, are reported to Vodacom Group’s Audit, Risk and Compliance Committee (“the ARCCC”) and the Vodacom Group Board and published in the annual integrated report.
    • Leads and manages a senior team of Risk executives, and ensures that they deliver on the activities of the Risk Management function in accordance with the applicable regulations and legislations, including Codes of Good Practice such as King IV

    Corporate Security:

    • Ensures the company has necessary and appropriate systems and controls in place to detect and investigate fraud.
    • Ensures the company has necessary and appropriate systems and controls in place to facilitate interception and monitoring when served with legal subpoena by law enforcement agencies.
    • Ensures the company has the necessary and appropriate business continuity management (BCM) tested plans and controls for recovery in the event of a disaster to avoid and/or mitigate disruptions to the business and its operations.  
    • Acts as Crises Team lead for Vodacom’s Crises Committee when a crisis is invoked.
    • Ensure the company has the necessary and appropriate controls and systems in place to protect the staff, property  and network.
    • Leads and manages a senior team of Corporate Security executives and ensures that they deliver operations and activities of Corporate Security.

    First Party Insurance: 

    • Ensure company buy adequate insurance to transfer some of the risks that cannot be mitigated such as property damage and business interruption, political violence, crime, general legal liability, cyber, directors and officers, credit e.t.c.
    • Managing the Vodacom Group’s cell captives; 

    Legal Compliance Reviews & ISO Internal Audits:

    • Through a risk-based approach perform legal compliance reviews of high-risk laws and regulations in all markets to ensure that Vodacom Group complies with all relevant laws and regulations.
    • Perform internal audits for ISO certifications such ISO 9001 (Quality), ISO 14001 (Environment) e.t.c.
    • Manage and ensure that all legal non-compliance and ISO audit findings are identified, reported and closed. 

    General Machinery Regulation and electrical safety:

    • Act as a section 16(2) appointment in terms of South African Health & Safety Act.
    • Ensures through monitoring and auditing that Vodacom South Africa (VSA) complies to general machinery and electrical regulations.
    • For VSA, CRO and team have a direct line and management responsibility for above.  For the International Business (IB) Markets, Egypt, Kenya and Ethiopia, CRO and team have an oversight and supporting role  for the above. CRO will have accountability for the budget/finances in Vodacom Group and VSA
    • CRO serves as a director on the Board of the Communication Risk Information Centre (“COMRIC”) as a VSA representative. 

    Leadership:

    • Be an ambassador of the Spirit of Vodacom by role modelling the behaviours of 1) getting it done together, 2) earning customer loyalty, 3) creating the future, 4) experimenting and learning fast.
    • Ability to inspire and motivate teams across multiple geographies, as well as building talent pipelines for future succession,

    The ideal candidate for this role will have:

    Must have technical/professional qualifications:

    • 4-year relevant university degree such as Accounting Honours or LLB.
    • Masters degree in Risk Management will be an advantage
    • Professional qualification such as CA(SA), Certified Risk Management Professional (CRM Prof), and admitted Attorney or Advocate of the High Court.
    • 10-15 years professional experience 
    • First party Insurance experience will be an advantage
    • Strong communication skills and ability to interact with people under stressful conditions.
    • Strong analytical skills and be able to identify trends and weaknesses and to recommend/take measures.

    Senior Specialist ESG

    Role Purpose/Business Unit:

    • The purpose of this role is to support the execution of Vodacom’s ESG framework with a focus on the empowering people purpose pillar and social impact-related responsible business practices across Vodacom and its subsidiaries (‘Vodacom’); as well as to provide expert advice at senior levels (Group and subsidiaries) on such matters within the context of the Group’s strategy. 
    • It involves leading engagement with a range of internal stakeholders to reflect positive ESG-related impacts of Vodacom’s products and services and responsible business practices, manage Group projects, lead the reporting relative to the portfolio, and drive partnerships and stakeholder engagement on the topic externally.  
    • The role sits within Vodacom Group’s ESG and Sustainable Business team, within Vodacom Group External Affairs. This team is responsible for creating and implementing Vodacom’s ESG approach in support of the Group’s purpose ambition and commitment to maintaining trust through responsible business practices. Execution includes working with the Vodacom human rights specialist, the Vodacom ESG reporting and communication specialist, customer-facing businesses, Sustainability teams within operating companies, Vodacom Foundation teams, the senior sustainability strategy manager at Vodafone as well as external partners at local and regional level.

    Your responsibilities will include:

    • Manage the governance and execution of identified commercial-linked Group ESG purpose-linked projects including the associated measurement and target setting and internal reporting (in consultation with business), while contributing to the external reporting relative to the portfolio.  
    • Support Vodacom’s commercial teams across Vodacom’s subsidiaries and lines of business, to: (i) identify and promote products, programmes and initiatives within the context of the Vodacom strategy that met identified societal needs (ii) guide commercial social inclusion activities in relation to the Group’s ESG approach; and (iii) assess opportunities and social impact related risks, providing recommendations.
    • Support the review and adaption of Vodacom’s empowering people purpose pillar and social-related aspects of responsible business practices as required by internal developments; the ongoing evolution of the external landscape; and considering the findings of various external assessments including, Vodacom commissioned independent assessments; unsolicited civil society/NGO reports and ESG ratings.
    • Promote and further develop the Vodacom narrative on empowering people and social-related aspects of maintaining trust (through responsible business practices); manage Vodacom external leadership opportunities and contribute to Vodafone external leadership opportunities. 
    • Develop and manage external relationships with NGOs, industry, regulators, and reporting bodies (such as the UN Global Compact); and lead the process on external reporting of social impacts in line with evolving regulatory context and stakeholder expectations. 

    The ideal candidate for this role will have:

    Must have technical / professional qualifications: 

    • Relevant degree, or relevant ESG-related qualification such as GRI Professional Certification is advantageous. 
    • Experience in reporting against the Global Reporting Initiative standards, the UN Global Compact and UN SDGs is a minimum. Knowledge of emerging frameworks such as the EU CSRD, ISSB S1 and SASB standards is advantageous.
    • Experience working in a matrixed, multi-national African organisation is advantageous.

    • Experience in the execution of commercial-linked social inclusion activities and responsible business practices.
    • Experience with social impact reporting against globally accepted frameworks such as the Global Reporting Initiative standards, the UN Global Compact, and UN SDGs is a minimum.
