    Senior Manager Internal Communications

    Purpose of the Position:

    • To lead the development and delivery of a company-wide internal communication strategy and plan to inspire, motivate, inform, and support all Video Entertainment employees.

    Key Performance Objectives

    Strategy Execution

    • Develop and implement an MCSA internal communication strategy.
    • Deliver an internal communication strategy and narrative, developed by the VE Head of Internal Communications, that binds all employees together behind Video Entertainment’s ambition to put customers first and create a successful and sustainable business for years to come.

    Operational Delivery

    • Lead the creation of MCSA employee communication programmes that deliver strong engagement and which help lift the company’s reputation as a great place to work.
    • Develop simple and effective approaches to audience segmentation to maximise the impact of internal communication resources, and to support leaders and line managers in playing a pivotal face-to-face communication role for MCSA teams.
    • Provide the MCSA leadership team with a structured cadence of communication and visibility, resulting in Year-on-Year improvement ratings for leadership communications.
    • Deliver effective internal communication and support plans for organisational change initiatives, positioning them as key enablers of business strategy particularly digital, and make appropriate adjustments.

    Stakeholder Management

    • Ensure close alignment between internal and external messaging to present a consistent story across all stakeholders.
    • Provide communication counsel, coaching, and best practice advice and solutions to business colleagues and the leadership team.

    People Management

    • Manage team members to ensure effective delivery of business unit objectives.
    • Develop a high performing team by embedding formal performance development and informal coaching. Encourage frequent knowledge sharing between team members.
    • Determine and analyse development needs for the team and ensure that identified training requirements are budgeted for and executed.
    • Interview and recruit new members of the team, including determining appropriate compensation levels with input from HR.
    • Create effective workforce and recruitment demand plans to ensure that current and future business requirements can be met.
    • Review and update the department’s organisation structure and role description on at least an annual basis to ensure that they are fit for purpose and contain all the accountabilities of each team member.
    • Approve leave requests for team members and create leave plan to ensure adequate coverage.
    • When required, initiate disciplinary processes for team members calling on support from HR when required.
    • Resolve grievances raised by team members and escalate only if required.
    • Address poor performance of any team member through the formal Performance Improvement programme and ensure that continued poor performance is appropriately dealt with.
    • Motivate team members and ensure that their efforts are recognized.

    Qualifications Essential

    • Degree in Public Relations/Corporate Communications

    Qualifications Preferred

    • Post Grad advantageous
    • Ensure that business progress, internal news and announcements are well-managed to communicate important changes in a timely, coordinated, and supportive way, resulting in YoY improvements in employees feeling they are kept well-informed.

    Experience

    • A minimum of 8-10 years’ experience delivering effective and measurable internal communication and employee engagement programmes within a diverse, multi-cultural, environment
    • Tangible evidence of delivering successful change management, particularly multi-team, company-wide transformation.

    Company Secretary SA

    Key Customers

    • Shareholders of the group and its subsidiaries, the boards and committees of the South African based entities, group legal, group executives and segment/business unit/regional CEOs.

    Purpose of the Position:

    • This position is responsible to assist the MultiChoice group company secretary in relation to company secretarial task for the South African entities.
    • Assistance with end-to-end governance support across the South African entities.

    Key Performance Areas/Tasks

    Policy development

    • Group Policy Custodian: Responsible for the development (drafting/review), implementation and maintenance

    Governance

    • Input on King IV requirements and group disclosures, particular in relation to the South African (SA) based business
    • Develop and maintain the King IV register for group and SA
    • Draft reports for King IV application reporting for group and SA
    • Develop, implement and maintain the Corporate Governance framework across the group companies ensuring alignment with legislation
    • Develop, implement and maintain the group levels of authority and SA downward delegations’ framework
    • Governance reporting, advisory and opinion drafting
    • Board and committee charter drafting and maintenance
    • Keep an updated database of all Phuthuma Nathi share scheme issuer representatives
    • Conduct board evaluations for SA based boards
    • Conduct committee evaluations for SA based boards
    • Conduct director evaluations for SA based boards
    • Review and advise on board and committee compositions for SA based boards
    • Assist with director induction, particularly on corporate governance for SA based boards

    Compliance

    • Monitor Companies Act compliance
    • Monitor SA compliance with the group governance guidelines ensuring alignment with legislation
    • Oversea, advise on SA entity compliance with the group levels of authority and SA entity delegations of authority
    • Monitor JSE listing compliance in respective of SA based entities
    • Monitor changes in relevant legislation and regulatory environment
    • Monitor and ensure compliance with the board and committee charters
    • Compliance reporting, advisory and opinion drafting
    • Monitor and report on Equity Express listing requirements compliance
    • Lead and ensure compliance to King IV requirements

    Operational Delivery

    • Assist with the fulfilment of the statutory duties as outlined in the various Companies Acts
    • Assist with and prepare all necessary governance and compliance documentation, such as board resolutions, MOls, AGM agendas etc., for SA incorporated entities and its subsidiaries
    • Assist and attend to all statutory matters for the SA incorporated entities, including the timely preparation and submission of statutory documents to relevant company houses and registrars, such as annual returns, registration of new companies, directors' consent form, etc.
    • Assist with the provision of information required for inclusion in the MCG and MCSA integrated annual reports, provisional reports and interim reports
    • Input into the group and SA cosec budget
    • Manage the impact of data privacy for the company secretariat department
    • Handle ad-hoc queries from internal customers and other entity shareholders
    • Work with the M&A team when necessary
    • Ad-hoc project management for the company secretariat department
    • Assist with annual general meetings across the group

    SA Training

    • Contribute to the governance, risk and compliance training
    • Develop, rollout and maintain of corporate governance related training modules

    SA Special projects

    • Ensure overall coordination of Project management on special projects e.g. liquidations, group entity restructures, share issues, share exchanges etc.
    • Assist with annual general meetings

    SA reporting

    • Ensure project management of, drafting and reviewing of the integrated annual reports published by Multichoice Group Limited, MultiChoice South Africa and Phuthuma Nathi.
    • Assist with shareholder queries

    SA sustainability

    • Sustainability lead (material matter identification and implementation across group)
    • Attends to ESG reporting reviews and responses

    Qualification

    • BComm, Law or CIS qualification

    Experience

    • 5 years’+ experience in similar role
    • Solid previous experience in a JSE listings environment
    • Sound knowledge and understanding of the JSE Listing requirements, King IV and the Companies Act 2008
