    Corporate Legal Advisor

    Purpose of the Job

    • To provide expert legal advice to identified stakeholders to ensure conformity with the laws and minimize Engen's exposure to legal risks and pitfalls wherever Engen operates.

    Who You Are:

    • Experience working with and advising senior management on complex commercial legal issues, whilst ensuring that applicable laws are adhered to.
    • Experience of representing the organisation in various petroleum industry bodies and forums.
    • Strong legal experience in corporate and commercial matters.
    • A team player with an outgoing personality and ability to interact within a diversified environment.
    • A meticulous drafter of legal documents and able to demonstrate attention to detail.
    • Excellent problem solving and analytical skills, must be business oriented and demonstrate critical thinking capability.
    • Excellent written and verbal communication skills.
    • Possess excellent project management skills and demonstrate history of on-time delivery.
    • A professional with strong organisational skills; delivering on deadlines.

    What you’ll have done before:

    Baseline:

    • NQF Level 7 (Degree in Law/ LLB)
    • Admitted Attorney
    • 8 years post admission experience in Legal Advice

    Advantageous:

    • Commercial law, Data Privacy, Shipping and Competition law certifications
    • Petroleum Industry experience

    • Providing advice to various departments on corporate and commercial transactions as well through collaborating with Line Manager and Team.
    • Providing legal support to various complex projects and working cross functionally in collaboration with other departments within the organization.

    What you’ll be doing:

    LEGAL OPINIONS & ADVICE:

    Providing -

    • legal advice based on general knowledge of the law, including Procurement Law, Company Law, Corporate Commercial Law, Mergers and Acquisitions, IT Law, Contract Law Engineering and Construction Law, Insurance Law, Shipping Law, Banking and Finance Law, Competition Law and Intellectual Property Law the law as it relates to the Petroleum Industry (downstream and upstream), Property Law, Contract Law, Environmental Law, Health and Safety Law, Protection of Private Information Law and Economic Sanctions and Export Control Law;
    • or source expert legal advice on diverse and complex legal issues, research legal principles and applies it to the facts, and formulates and communicates legal opinions;
    • legal support for mergers and acquisitions transaction, including conducting Legal Due Diligence; drafting and negotiation of transactional agreements and other related documents (i.e. financial agreements, declarations etc), drafting of company constitutional documents (i.e. MOI, terms of reference for Board Committees, Policies and Rules); management of closing process and filing process and undertaking of all company secretariate related functions relating to the transaction;
    • legal support for and vetting and negotiating various banking instruments, such as banking terms and conditions, letters of credit, working capital facility letters, uncommitted syndicated banking term facilities (including managing the closing process) and issuing of relevant legal opinions for the transaction, and drafting of various finance documents and/or
    • legal advice in respect of, drafting, vetting and negotiating petroleum products trading transactions including spot sales, buy and sells and term arrangements, storage and through put agreements and joint facility management agreements.

    CONTRACT DRAFTING & VETTING:

    • Drafting, vetting and negotiation of various contracts relating to the above specified areas of the law; and Preparation of various contract templates and updates as required from time to time. Must demonstrate a strong understanding and extensive experience in dealing with commercial contracts and transactions.

    LITIGATION & DISPUTE RESOLUTION:

    • End to end management of commercial litigation matters (including international matters); formulation of litigation strategies, understanding of alternative dispute resolution and management thereof, negotiating settlement and preparation of settlement agreements, Management of external counsel, commercial litigation management process and alternative dispute resolution process, drafting and settlement of various litigation documents including pleadings, ensures that the Constitutional Court, Supreme Court, High Court, Magistrates Court, Land Claims Court, Criminal Court and Small claims court procedures and processes are adhered to, application of litigation processes and procedures.

    RISK MANAGEMENT:

    • Assess business exposure to legal risk; determines and communicates risk mitigation.
    • Monitor implementation of risk management.
    • Manage outsourced and third-party activities.
    • Perform risk analyses and ensure compliance with the law as it pertains to Engen

    CONVEYANCING:

    • Knowledge of conveyancing in terms of the Deeds Registry Act, including, but not limited to, the sale of property, the registration of leases, bonds, servitudes and restraint of alienations, will be an advantage.
