    Manager Corporate Law

    KEY DELIVERABLES:

    • The Manager: Corporate Law is responsible for ensuring effective contract management services, prudent litigation management and cutting edge legal advisory services. Furthermore, the incumbent will direct and lead the Corporate Law Section to ensure excellence in the execution of the NHBRC’s mandate.
    • The Individual will primarily be responsible for, but not limited to the following:

    Corporate Law Strategy and Implementation Plans

    • Provide input into the development of Corporate Law strategy.
    • Develop implementation plans for Corporate Law Strategy
    • Develop Corporate Law policies, procedures, processes and practices.
    • Plan, direct and manage the activities of corporate law to ensure efficient discharge of responsibilities and obligations.
    • Define performance measures to evaluate the success of strategies.
    • Ensure maintenance of Sectional records and databases at all times.
    • Represent the organisation at various forums as required from time to time.

    Legal Advisory Services

    • Provide cutting edge legal advisory services to the NHBRC.
    • Conduct regular workshops for Core Operations to ensure the correct interpretation and application of the HCPMA and other related legislation.
    • Proactively alert the business of any emerging legal concerns or any factors that could preclude the achievement of any agreed targets.
    • Keep abreast of developments in the legal arena and conduct legal research as appropriate to keep in line with legal developments and jurisprudence.
    • Review legal opinions, memoranda and other related legal documents prior to submission to relevant officials and/or fora.
    • Provide legal advice to NHBRC’s internal and external stakeholders, including Management, Executives and Council.
    • Represent the company in forums where legal expertise is required.
    • Instruct Attorneys to provide specialist and expert legal advice and opinions as and when required.
    • Provide advice on current and future implications of the HCPMA and the regulations.
    • Ensure compliance with the NHBRC policies and applicable Legislative framework.

    Legislative Review

    • Participates in the Legislative review and subsequent amendments to or repeal of the Act Regulations and Rules.
    • Compile drafts, obtain approval and publish Act, amendments and regulations in the Government Gazette.
    • Provide leadership and guidance in the drafting and review of the NHBRC’s legislation, including regulations, codes of conducts and other related legal instruments.
    • Prepare and present submissions to relevant Committees both internally and externally on legislative issues.
    • Attend and participate in relevant meetings regarding legislative review for or on behalf of the organisation.

    Contract Management

    • Provide effective contract management services.
    • Ensure that all contracts and agreements that the NHBRC enters into internally with staff and with external organisations are consistent and legally sound.
    • Negotiate contracts on behalf of the organization.
    • Review NHBRC legal and contract documents as required.

    Litigation Management

    • Ensure prudent, effective, and efficient litigation management.
    • Review progress on litigation matters and advise the business accordingly.
    • Instruct and manage external Attorneys to ensure efficient representation of the NHBRC.
    • Lead and manage the NHBRC in all litigation initiated or defended.
    • Interdict defaulting Home Builders
    • Institute action or lodge application to protect the interest of NHBRC.
    • Ensure recovery of remedial works costs, fines, legal costs and other debts.

    Project Management

    • Define roles and responsibilities for project team members and clearly communicates expectations.
    • Balance quality of work with deadlines and budget.
    • Identify and manage risks to the project.
    • Set and manage service level agreements with service providers.

    Integrated Systems, Policies, Processes and Procedures

    • Provide legal advice on corporate policies and procedures as and when required.
    • Monitor and evaluate the perception of the NHBRC role in the industry and establish processes to mitigate against those perceptions.
    • Present and/or make submissions to relevant Committees/Forums on changes on policies and procedures.
    • Lead, supervise and provide direction to Legal Advisors and to ensure productivity and efficiency within the Section.

    Governance and Compliance

    • Develop, monitor, and review Corporate Law policies, procedures, standards, and process flows.
    • Ensure adherence to all related policies, procedures. and applicable regulations
    • Manage and maintain risk register for Corporate Law
    • Collaborate with Audit, Risk, Governance and Compliance functions in monitoring and implementing compliance processes.
    • Respond to audit findings.
    • Recommend action on the improvement of systems and practices for the Corporate Law section.
    • Prepare and present reports for submission to the NHBRC Management/Executives and Council and its committees and other stakeholders as requested on risk, audit and compliance issues.
    • Identify and mitigate risk in area of responsibility.
    • Monitor the management of both operational and strategic risks.
    • Monitor the implementation of audit findings within the agreed timelines.
    • Advise Management, Executives, on potential legal risks and possible measures to mitigate the identified risks.

    Financial Management

    • Responsible for functional budgets and overall financial management of the Corporate Law section.
    • Ensure cost optimisation measure are in place within the section.
    • Manage Corporate Law Service Level Agreements with service providers.
    • Implement and effectively manage approved budgets, procurement plans, report variances, and monitor the implementation of remedial actions to minimise impact.

    Stakeholder Relations

    • Build client relations by demonstrating professionalism, appropriate self-confidence, a facilitative communication style, and constructive response to client needs.
    • Maintain positive interpersonal relationships with team members and others by demonstrating productivity, initiative, and flexibility.
    • Sensitise management on Legal issues.
    • Make presentation on Corporate Law activities within the NHBRC.
    • Provide relevant and specialised technical (legal) support to applicable stakeholders.
    • Consult with relevant stakeholders on ways to improve the delivery of services.
    • Identify and implement innovative service delivery options in the Corporate Law Section.
    • Communicate the benefits of service delivery improvement opportunities to stakeholders.
    • Create mechanisms to encourage innovation and creativity within the Corporate Law Section and in the NHBRC at large.

    People Management

    • Conduct performance management and monitor performance on ongoing basis through mentoring, coaching, and reviews and take appropriate steps to correct performance issues.
    • Promote and implement a learning culture.
    • Deal with grievances, conflict and disciplinary issues and take appropriate actions in accordance with NHBRC Policy.
    • Recruitment and selection of suitable candidates according to recruitment and selection procedures and EE targets within the Section
    • Deploy and manage the resource and talent plan and ensure alignment to business needs.
    • Develop and retain skilled employees.
    • Promote transformation and growth in the Corporate Law Section
    • Attendance to development programs and interventions as per agreed Individual Development Plan (IDP)
    • Timeous submission of performance agreements and reviews.

    MINIMUM REQUIREMENTS:

    • Must hold an LLB and or appropriate bachelor’s degree (NQF 7) is mandatory
    • Minimum five (5) years Corporate Law experience is mandatory
    • Minimum 5 year’ experience operating at supervisory or management level
    • Admission as Attorney or Advocate preferably
