    Assistant Company Secretary

    Job Description

    This Cape Town based role delivers secretarial services as per legislative requirements. The Company Secretary provides advice and support to Boards on governance matters and ensuring compliance with statutory and regulatory requirements.

    Key Result Areas

    • Responsible for providing efficient and effective Company Secretarial services to the Board/Trustees and if so required, Committees as assigned.
    • Implement departmental agreed advice/guidance to directors both collectively and individually on their statutory and fiduciary duties, responsibilities and powers.
    • Responsible for administration relating to Board meetings, filing of documents and preparing Board Charters and Terms of Reference.
    • Implement in line with departmental agreed interpretation of the Companies Act and best practice corporate governance (including adherence to regulatory governance requirements) to all directors and members of management, aligned to Group Governance Framework (GGF) implementation and annual assessment.
    • Ensures compliance with the Companies Act and any other applicable legislation in assigned entities and trusts.
    • Implement in line with departmental agreed interpretation of Company Secretarial processes through Agendas, Board composition, number of meetings held to address compliance matters, aligned to GGF implementation and annual assessment.
    • Organizes and administers the smooth running of meetings, producing accurate minutes and resolutions.
    • Provides general support - maintenance of databases of information on directors and subsidiary companies, signing powers, etc.
    • Delivers secretarial services as per legislative requirements.
    • Manages remuneration of directors (if required).
    • Sets up new subsidiary companies and trusts.

    Legal & Regulatory Services

    • Advises the Board with interpretation, advice and application of legal and regulatory requirements across assigned entities and trusts.
    • Assists the Board with the interaction/ communication with regulatory bodies, with respect to matters affecting the Board, such as governance requirements.
    • Ensure that all group secretariat compliance matters are managed, addressed and presented and tabled at subsidiary Board’s in accordance with the compliance calendar applicable to subsidiaries.
    • Provides legal transactional governance advice to assigned entities and trusts.

    Corporate Governance advice & monitoring

    • Ensures that the Board implements best practice corporate governance requirements in line with the Group Governance Framework (GGF), when making decisions.
    • Implementation of the GGF, to ensure efficiencies and drive down the overall cost of Corporate Governance.
    • Provide input into all corporate governance initiatives, to ensure alignment with the Group.
    • Accountable for GGF assessment/attestation, application and reporting across assigned entities and trusts.
    • Provides oversight and monitoring of corporate governance and escalates Group wide issues.
    • Assists in driving governance initiatives to underpin the vision of Old Mutual being a responsible business.
    • Administers the Group’s subsidiary companies' statutory records, registers and the lodgment of necessary returns in compliance with statutory requirements.
    • Keeps Company registers up to date.

    Stakeholder relations

    • Facilitates communication with stakeholders and acts as point of consultation between external defined stakeholders and the organization, pertaining to relevant matters.
    • Building professional relationships with key stakeholders within the business.
    • Responsible for AGM administration across assigned entities and trusts.

    Requirements, Skills, Qualifications and Experience required:

    • LLB Degree.
    • Chartered Governance Institute Qualification will be advantageous.
    • At least 5 to 7 years’ experience in a corporate secretarial environment, with Financial Services related experience being an advantage.
    • Strong knowledge of statutory and regulatory requirements as per legislature.

    Board and board committee, executive /management committee administration experience required.

    Job Description

    • Manage the end-to-end customer experience for new and existing business by providing first line technical support to resolve queries, service and retain existing policies. Assume responsibility for collections for the business
    • In-depth understanding of the website and content to manage customer experience and resolve technical or navigational issues.

    Job Description

    Old Mutual is looking for a Junior Data Engineer who will assist in designing and implementing scalable and robust processes to support the data engineering capability.

    KEY AREAS OF RESPONSIBILITIES:

    • Assist in designing and implementing scalable and robust processes for ingesting and transforming datasets.
    • Assist in the design and implementation of data pipelines from a multitude of sources and also support the maintenance thereof.
    • Ingest large, complex data sets that meet functional and non-functional requirements.
    • Enable the business to solve the problem of working with large volumes of data in diverse formats, and in doing so, enable innovative solutions.
    • Build bulk and delta data lift patterns for optimal extraction, transformation, and loading of data.

    Role & Qualifications Requirements

    • Matric, with a degree in Computer Science, Business Informatics, Mathematics, Statistics, Physics or Engineering.
    • 1- 3 years of data engineering experience.
    • 1-3+ years of experience with any data warehouse technical architectures, ETL/ELT, and reporting/analytics tools including , but not limited to , any of the following combinations (1) SSIS and SSRS, (2) SAS ETL Framework, (3) SAP ETL Framework, (4) MongoDB ETL deployments, (5) Apache Spark and Apache Hive deployments will be beneficial.
    • The candidate having DBA ability and knowledge across at least 2 platforms (example: TSQL, SAS, PSQL, IBM VSAM and DB2 etc.) will also be beneficial.
    • Some experience with the Python programming language or any other similar functional language.
    • Some experience with designing and implementing Cloud (AWS) solutions including use of APIs available
    • Some experience with Dev/OPS architecture, implementation and operation would be advantageous.
    • Knowledge of Engineering and Operational Excellence using standard methodologies. Best practices in software engineering, data management, data storage, data computing and distributed systems to solve business problems with data.
    • Some experience in applying SAFe/Scrum/Kanban methodologies would be advantageous.
    • Knowledge and understanding of business process management lifecycle which covers the design, modelling, execution, monitoring, and optimization as well as business process re-engineering.
    • Good problem solving skills: The ability to exercise judgment in solving technical, operational, and organizational challenges, to identify issues proactively, to present solutions and options leading to resolution

    Risk and Capital Reporting Actuarial Manager

    Job Description

    The Group Actuarial team is part of the Old Mutual Group Finance division, reporting directly to the Group Chief Financial Officer. The team operates and provides exposure across all the businesses in Old Mutual including the various jurisdictions.

    The team has an opportunity available for an experienced actuary to gain unique experience in the inner workings of a complex financial services group. This role will report to the Finance Actuary and be responsible for delivering Old Mutual’s regulatory capital results and other risk management metrics, with the support of a team of actuaries and actuarial students.

    The role will build networks across the wider Group, which will assist with future career development as part of Old Mutual’s actuarial rotation programme.

    Key Result Areas

    Regulatory Reporting

    • Work with the regulatory reporting team to ensure quality delivery of capital calculations and Prudential Standards balance sheet information, for both the solo insurance licence as well as the Insurance Group and Financial Conglomerate licences.
    • Output will be used for regulatory submissions (quarterly / half-yearly / annual QRTs) and for external publication (half-yearly OML results booklets and financial statements).

    Capital forecasting

    • Produce reliable projections as part of the annual Business Plan process.
    • Ensure regular updates of life business capital allocations are provided to the Group Balance Sheet Management team to help with overall Group capital management.

    Scenario testing

    • Work with the Group Finance and Group Risk teams to provide capital levels under a range of scenarios (for the annual ORSA process as well as ad-hoc when required).

    Governance framework

    • Ensure the team’s reporting controls are appropriately performed, and evidence retained.
    • Ensure submissions are compliant with relevant technical standards and actuarial methodology principles and guidelines, and ensure methodology is appropriately maintained. Provide technical guidance to stakeholders when needed.

    Operational improvements / developments

    • Ensure sufficient priority is given to maintaining and improving the tools used in the team’s various processes, including both the actuarial use of OML’s financial consolidation platform, and the team’s spreadsheets.
    • Monitor regulatory developments and ensure processes and tools are prepared in advance of these changing requirements.

    Ad-hoc business support

    • Ensure team maintains sufficient capacity to provide ad-hoc support to the business (e.g. capital calculations for product developments, or analysing the impact of OML subsidiary changes on the regulatory capital position).

    Development and coaching

    • Ensure that team members are achieving their personal development goals, and that there is a focus on appropriately rotating people into and out of the team over time.

    Qualifications and Experience required:

    • Qualified actuary
    • At least 8 years’ actuarial experience (mostly in a finance reporting role)
    • 2-3 years’ management experience
    • Ability to collaborate effectively with others, with strong stakeholder engagement skills
    • Strong technical skills in capital calculations, actuarial reserving and analysis of surplus
    • Organisation and planning
    • Ability to work on a wide range of deliverables at once, drive projects to completion within agreed timelines
    • Strong sense of ownership, requiring minimal guidance and proactively driving for solutions
    • Ability to gather a wide range of information, filter and then use in making sound and balanced decisions
    • Strong business acumen
    • Excellent communication skills (both written and verbal)
    • Willing to learn and grow
    • The incumbent will have an added advantage if he/she has had exposure to group consolidation and accounting reporting processes.
