    Senior Manager: Corporate Secretariat & Governance

    Main purpose: 

    • To ensure the effective functioning of the corporate secretariat and governance functions by providing corporate secretariat support services to the Corporate Governance Oversight and Advisory Committees, Executive Committee (EXCO), EXCO sub-committees and other relevant committees in ensuring adherence and compliance to all applicable legislation and corporate governance regulations. To implement the corporate governance framework activities across the SIU through the coordination of all governance practices

    Minimum qualification and experience: 

    • B Honours Degree in Law / LLB (NQF 8) or Chartered Governance Institute of Southern Africa Board Level Qualification (NQF 8). Six to eight years’ experience in a company/corporate secretariat/governance environment, of which four years’ is at a management level.  Experience in a forensic investigation environment would be advantageous.

     Key performance areas (include but not limited to): 

    • Operational Planning & Implementation for Governance Division. Manage Corporate Governance across the SIU. Render Secretariat Support to Corporate Governance oversight and advisory Committees’ (CGC) Meetings, Executive Committee (EXCO) meetings and EXCO sub-committees meetings (the Committees). Assist in the facilitation of proper Induction of Corporate Governance oversight and advisory Committee Members. Manage CGC Governance. Manage the implementation of a Whistle Blowing Programme. Support Special ‘Risk’ Projects for the Governance Function. Budget Management.  Staff Management.

    Technical skills:

    •  Leadership.  Communication.  Interpersonal.  Collaborating and networking. Analytical.  Conflict resolution.  Minute taking.  Report writing.  Planning and organizing.  Relationship management.  Time management. 

    Required knowledge and Behavioural (includes but not limited to): 

    • Sound knowledge of legislation and regulations pertaining to the environment e.g. PFMA, Treasury regulations, Corporate Governance Framework, Companies Act, King IV, etc. 
    • Sound knowledge of corporate governance and corporate secretariat processes and procedures. 
    • Sound knowledge of project management principles and processes. 
    • Knowledge of financial principles.
    • Attention to detail.  Deadline driven.  Customer focused. 
    • Independent.  Honesty/Integrity.  Independent. 
    • Diplomatic. Team player. Emotional Intelligence.
