    Job Purpose
    To assist NCIB’s equity and debt sponsor clients and NCIB Corporate Finance/Advisory mandates with JSE-listed clients in implementing corporate actions from a regulatory perspective i.e. advising on the regulations (JSE Listings Requirements, South African Companies Act and Regulations, and King Code), ensuring compliance therewith, drafting the necessary documentation (SENS announcements and circulars to shareholders) and obtaining the approval of the relevant regulator (JSE and or Takeover Regulation Panel).

    Job Responsibilities

    • Give advice on the regulatory implications of M&A transactions (relevant regulations: JSE Listings Requirements, Companies Act and Regulations, and the King Code on Corporate Governance).
    • Assist the Corporate Finance team in putting together pitches, where there is a regulatory angle (requires proficiency in Powerpoint).
    • Draft all regulatory documentation (SENS announcements, circulars, Pre-Listing Statements, Prospectuses, Revised Listing Particulars, Listing Applications, Scheme of Arrangement circulars, Offeror Circulars, Offeree Response Circulars etc.).
    • Obtain the necessary approvals for the abovementioned documentation from the JSE and/or the Takeover Regulation Panel).
    • Project manage the regulatory timetable including liaising with all advisors, including but not limited to, attorneys, auditors, reporting accountants, property valuers, competent persons etc.).
    • Build trust and strong relationships both internally and externally through delivery of good quality work outputs and strong communication skills.
    • Ensure provision of timeous resolutions for internal and external stakeholders by addressing specific transaction related queries.
    • Developing and using collaborative relationships to facilitate the accomplishment of work goals.
    • Maintain existing client relationships by respecting and assisting in enhancing the relationship.
    • Seek opportunities to improve business processes and systems by identifying and recommending effective ways to operate and adding value to Nedbank.
    • Maintain competency through keeping up to date with industry trends and legislation.
    • Focus on innovative client solutions and problem solving by showing initiative; creative thinking and drawing from previous experience.
    • Assist in ensuring effective deal management by being a pro-active team member.
    • Ensure compliance with internal processes through developing an understanding of internal procedures.
    • Ensure personal time management and assist in ensuring effective deal/project management.
    • Ensure that all admin related responsibilities are timeously addressed.
    • Support the achievement of the business strategy; objectives and values by reviewing Nedbank and Business Unit policies.
    • Identify training courses and career progression for self through input and feedback from management.
    • Ensure all personal development plan activities are completed within specified timeframe.
    • Share knowledge and industry trends with team and stakeholders during formal and informal interaction.

    Essential Qualifications - NQF Level

    • Matric / Grade 12 / National Senior Certificate
    • Professional Qualifications/Honour’s Degree
    • JSE Approved Executive

    Proffered Qualifications

    • Attorney, CA(SA), CFA

    Minimum Experience Level

    • 2-3 years relevant experience:
    • JSE Equity Sponsor
    • Corporate lawyer with direct exposure to the JSE Listings Requirements, South African Companies Act and Companies Regulations

    • Relevant regulatory knowledge (JSE Listings Requirements, Companies Act and Regulations, King Code)
    • Business acumen and principles
    • Business terms and definitions
    • Business writing
    • Corporate governance (King Code)
    • Microsoft Office (Powerpoint and word essential)
