    Associate Principal (Private Equity)

    Purpose of the role: 

    • To execute unlisted equity transactions across various sectors and provide oversight and support on portfolio construction and deployment activities across the Isibaya division. 

    Requirements:

    • Relevant commerce undergraduate degree 
    • Postgraduate qualification MBA/ M.Com/ MFI/MSc/CA/CFA/Engineering and/or any relevant Master’s degree or professional qualifications 
    • Deep experience in executing private equity transactions in the private sector (non-DFI) gained from working in any of the following types of institutions:
    • Private equity fund; 
    • Private equity investment holding company; 
    • Principal equity investments 
    • Acquisition finance 
    • 8 to 10 years of post-articles investment experience 
    • Strong understanding and experience in negotiating legal agreements in private equity transactions; 
    • Track record in negotiating and structuring complex transactions relating to the following instruments; 
    • BEE preference share structures 
    • Direct private equity investments 
    • Mezzanine debt 
    • FAIS Representative (RE5) 
    • Broad industry and sectoral research capability 
    • Advanced financial modelling skills 
    • Ability to lead a transaction from cradle to grave 
    • Experience in compiling investment appraisal reports for the Investment Committee 

    Duties:

    • Proactively identify investment partners and investment opportunities 
    • Articulate investment thesis and potential investments 
    • Review and optimise legal structures and legal agreements on transactions 
    • Implement investment strategy and portfolio diversification strategy 
    • Lead and manage the entire investment process on transactions
    • Deal screening and preliminary appraisal of potential transactions 
    • Build financial models, structure transactions and negotiate term sheets 
    • Due diligence scoping, execution and review 
    • Industry and sectoral research analysis 
    • Manage portfolio prudently and enforce ESG principles;
    • Develop and implement value-creation strategies at investee company level; 
    • Investee company Board representation 
    • Support the post-investment team on portfolio management and exit transactions 
    • Risk management, compliance and reporting on investment portfolio
